    Terms of Service

    Agreement Acceptance

    These Terms of Service ("Terms", "Agreement") establish a legally binding contract between you ("User", "you", "your") and Resell Reserve ("Company", "we", "us", "our") that governs your access to and use of our platform, tools, and services. This Agreement becomes effective and enforceable from the moment you first access, register for, or use any Resell Reserve service (the "Effective Date").

    By proceeding to use our services, you confirm that:

    • You have carefully reviewed and comprehended all provisions contained within this Agreement
    • You possess the legal capacity, authority, and right to enter into this binding contract under applicable law
    • You voluntarily accept and agree to be legally bound by all terms, conditions, and obligations set forth herein

    Should you disagree with any portion of these Terms, you must immediately cease all use of Resell Reserve services and refrain from accessing our platform, tools, or any associated resources.

    1. Introduction and Definitions

    These Terms of Service ("Terms") constitute a comprehensive legal agreement that regulates your relationship with Resell Reserve and governs all aspects of your interaction with our digital ecosystem, including but not limited to our Discord community platform, proprietary web-based application, official website, and all associated software tools, features, and services (collectively, the "Service").

    Resell Reserve operates as a subscription-based platform providing reselling tools, marketplace monitoring capabilities, business management resources, and educational content. By engaging with any component of our Service, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, which operate in conjunction with our Privacy Policy and any additional guidelines we may publish.

    2. Service Overview and Features

    Resell Reserve delivers a comprehensive suite of digital tools and resources designed to support reselling activities. Our Service encompasses:

    • Marketplace Monitoring: Real-time deal detection and automated alerts delivered through our Discord integration for the Vinted platform
    • Automated Purchase Tools: One-click checkout (Autobuy) and fully automated purchasing (AutoCop — Ultimate tier only, our most powerful tool) to streamline your buying process
    • Business Management Platform: Full web application (Advanced and Ultimate tiers only — Beginner has no web app access) featuring inventory tracking, tax center, expense management, data exports, goal setting, task organization, and financial analytics
    • Educational Resources: Access to guides, tutorials, best practices, and community-driven knowledge sharing within our Discord environment
    • Scheduling System: Integrated booking functionality for arranging one-on-one coaching sessions, onboarding consultations, and personalized support meetings
    • AI Reselling Assistant: Chat-based AI tool on our website to help with reselling questions, filter building, and guidance

    The specific features, tools, and access levels available to you depend upon your selected subscription tier (Beginner, Advanced, or Ultimate). We also provide free content and features for all Discord members (All Members tier). Feature availability and functionality may be modified, updated, or discontinued at our discretion, with reasonable notice provided where practicable.

    3. Account Registration and Access Requirements

    Our Service is available to individuals and business entities worldwide, subject to compliance with these Terms and applicable local laws. To access paid features, you must:

    • Maintain an active Discord account and join our official Discord server
    • Provide truthful, accurate, current, and complete information during registration and account setup processes
    • Successfully complete the account linking process by connecting your Discord account with the email address associated with your Stripe payment account
    • Maintain an active, valid subscription through our payment processor

    Account Verification Requirement

    To prevent fraudulent activity and ensure subscription legitimacy, we require all users to link their Discord account with the email address used for Stripe payment processing. This verification step is mandatory and cannot be bypassed. Access to paid features will not be granted until this linking process is successfully completed. This requirement serves as a security measure to protect both our platform and legitimate subscribers.

    4. Acceptable Use and User Responsibilities

    You agree to utilize our Service exclusively for lawful purposes and in strict compliance with all applicable laws, regulations, and industry standards within your jurisdiction. You are expressly prohibited from:

    • Engaging in any fraudulent, deceptive, misleading, or illegal activities through or in connection with our Service
    • Transferring, sharing, selling, leasing, or otherwise distributing your account credentials, subscription access, or Discord role privileges to any third party
    • Attempting to circumvent, bypass, exploit, manipulate, or interfere with any security measures, access controls, or technical limitations of our tools, website, or Discord features
    • Violating, infringing upon, or misappropriating any intellectual property rights, proprietary rights, or confidential information belonging to us or any third party
    • Using automated systems, bots, scripts, or other means to access or interact with our Service in ways that exceed normal human usage patterns or violate our rate limits

    We retain the absolute right to monitor, investigate, suspend, restrict, or permanently terminate your access to our Service at any time, with or without prior notice, if we determine in our sole discretion that you have violated these Terms, engaged in prohibited conduct, or acted in a manner that threatens the integrity, security, or operation of our Service or community. While we typically provide warnings for minor infractions, serious violations may result in immediate action without prior notification.

    4.3 Third-Party Platform Risks and Automated Purchase Tools

    Our Service includes automated purchasing tools (Autobuy and Autocop) that interact with third-party marketplace platforms, including but not limited to Vinted. You acknowledge and agree that:

    • Third-Party Terms Compliance: The use of automated purchasing tools may potentially violate or conflict with the terms of service, acceptable use policies, or community guidelines of third-party platforms, including Vinted and other marketplaces
    • User Assumption of Risk: You understand and expressly acknowledge that using our automated purchasing tools (Autobuy, Autocop) is done entirely at your own risk and discretion
    • No Liability for Third-Party Actions: Resell Reserve accepts no responsibility, liability, or obligation whatsoever for any account restrictions, suspensions, permanent bans, enforcement actions, or other penalties imposed by third-party platforms (including but not limited to Vinted, Discord, or any marketplace) as a result of your use of our automated purchasing tools
    • No Refunds for Bans: We will not provide refunds, credits, or any form of compensation if your account is restricted, suspended, or banned by any third-party platform, regardless of whether such action is allegedly related to your use of our Service
    • Your Responsibility: It is solely your responsibility to review, understand, and comply with the terms of service, acceptable use policies, and community guidelines of all third-party platforms you use in connection with our Service. You are responsible for assessing the risks associated with using automated tools on any platform

    By using our automated purchasing tools, you acknowledge that you have read, understood, and accepted these risks. We make no representations or warranties that our tools comply with any third-party platform's terms of service, and we disclaim all liability for any consequences arising from your use of our tools on third-party platforms.

    5. Subscription Pricing, Billing, and Payment Obligations

    5.1 Pricing Structure and Currency

    • All subscription fees are denominated and charged in British Pounds Sterling (GBP, £)
    • We currently operate without VAT registration. Should we become VAT-registered in the future, all subscribers will receive advance notification, and applicable VAT will be added to subscription prices in accordance with UK tax regulations
    • We offer three distinct subscription tiers: Beginner, Advanced, and Ultimate, each providing different feature sets, access levels, and capabilities as detailed on our pricing page. Beginner subscribers do not have access to the web application; Advanced and Ultimate tiers include the full web app. The Ultimate tier is limited to 30 spots — once sold out, it's sold out
    • Subscription prices are subject to change, but any price increases will not affect your current billing cycle and will only apply to subsequent renewal periods after advance notice

    5.2 Payment Processing and Authorization

    • All payment transactions are securely processed through Stripe, a PCI DSS Level 1 certified payment processor. We do not store, process, or have access to your complete payment card information
    • Automatic Recurring Billing: Your subscription will automatically renew at the conclusion of each billing period (monthly or quarterly, depending on your selected plan) unless you cancel your subscription prior to the renewal date
    • By subscribing, you expressly authorize us to charge the payment method you have on file for the applicable subscription fee at the beginning of each billing cycle
    • You are responsible for maintaining current, valid payment information. Failure to update expired or invalid payment methods may result in service suspension or cancellation
    • If a payment attempt fails due to insufficient funds, expired card, or other payment method issues, we reserve the right to suspend your subscription immediately until payment is successfully processed

    5.3 Cooling-Off Period Waiver (UK Consumer Rights)

    Under UK consumer protection law, you normally have a 14-day cooling-off period to cancel a subscription service and receive a full refund. However, this right may be waived when:

    • You request immediate access to digital content and that access begins before the end of the cooling-off period
    • You explicitly acknowledge and agree to waive your cooling-off rights

    By subscribing to Resell Reserve and completing the account linking process (which immediately grants you access to our Discord server, monitoring tools, automated purchasing features, and web application for Advanced and Ultimate tiers — Beginner has no web app access), you expressly acknowledge and agree that:

    Immediate Access and Waiver Agreement

    Upon successful payment and account linking, you immediately receive full access to all features and tools associated with your subscription tier. This immediate access begins before any cooling-off period could expire.

    By subscribing, linking your account, and accessing the Service, you explicitly acknowledge and agree that you are waiving your statutory 14-day cooling-off right under UK consumer protection law (Consumer Contracts Regulations 2013) for this digital content subscription service. You understand that this waiver is valid because you have requested and received immediate access to the Service, and you will not be entitled to a refund under the cooling-off period provisions.

    5.4 Affiliate Programme

    Resell Reserve operates an affiliate programme that allows members to earn commission by referring new paying subscribers. Key terms:

    • Commission: Affiliates earn 20% recurring commission on subscription revenue from referrals who subscribe using their unique affiliate link or code
    • Payment: Commissions are paid monthly, subject to minimum payout thresholds and our affiliate terms as communicated in Discord
    • Eligibility: Participation in the affiliate programme is subject to our approval and compliance with these Terms and any additional affiliate guidelines we publish
    • Modification: We reserve the right to modify, suspend, or discontinue the affiliate programme at any time, with reasonable notice where practicable

    Full affiliate terms and setup instructions are available in our Discord server. By participating, you agree to any additional affiliate-specific terms we provide.

    5.5 Payment Disputes and Chargeback Policy

    • Initiating a chargeback, payment reversal, or payment dispute with your financial institution without first contacting our support team to attempt resolution constitutes a material breach of these Terms
    • Fraudulent or unwarranted chargebacks will result in immediate and permanent termination of your account, with no possibility of reinstatement or refund
    • We strongly encourage and expect all users to contact our support team directly through a Discord support ticket to resolve any billing concerns, questions, or disputes before taking any action with their payment provider
    • We are committed to working with users to resolve legitimate billing issues promptly and fairly when contacted through proper channels

    6. Refund Policy and Payment Finality

    6.1 General Refund Policy

    All subscription payments are final and non-refundable. We do not provide refunds, credits, or reimbursements for any portion of a billing period, regardless of when during that period you cancel your subscription or cease using the Service.

    When you cancel your subscription, you will retain full access to all paid features and tools until the conclusion of your current billing period. No prorated refunds are available for the remaining days, weeks, or months of your billing cycle.

    6.2 Circumstances Where Refunds May Be Considered

    In compliance with the Consumer Rights Act 2015 and other applicable UK consumer protection legislation, we may, at our sole and absolute discretion, consider refund requests in the following limited circumstances:

    Potential Refund Scenarios (Discretionary):

    • • The Service was not provided with reasonable care and skill, and the deficiency materially affects your ability to use the Service as intended
    • • The Service materially differs from its description at the time of purchase in a way that significantly impacts functionality
    • • Duplicate charges occurred due to technical errors or system malfunctions on our part
    • • Refund is required by applicable law or court order

    Refunds Will NOT Be Provided For:

    • • Change of mind, buyer's remorse, or simply deciding you no longer want the Service after purchase and initial use
    • • Dissatisfaction with the Service when it has been delivered as described and functions as advertised
    • • Failure to achieve desired business results, profit expectations, sales targets, or financial outcomes
    • • Poor performance of your reselling business, inability to find profitable items, or market conditions affecting your success
    • • Subscription cancellations (you retain access until your billing period ends, which is the extent of any "refund")
    • • Account suspensions, restrictions, or terminations resulting from violations of these Terms or our community guidelines
    • • Third-party platform changes, restrictions, or account bans (e.g., Vinted account issues, Discord limitations)
    • • Technical issues that are resolved within a reasonable timeframe or that do not substantially prevent Service use

    6.3 Refund Request Process

    To submit a refund request for circumstances that may qualify under Section 6.2, you must contact our support team via a Discord support ticket in our official server (discord.gg/A6dEtkSgyu). Your request must include: your Discord username, subscription tier, transaction details, specific reason for the refund request, and any supporting documentation. We will review your request and respond within 5-7 business days. Approval of any refund is entirely at our discretion and not guaranteed, even if your circumstances appear to fall within the categories listed above.

    7. Subscription Cancellation Policy

    7.1 Cancellation Rights and Methods

    You have the right to cancel your subscription at any time, for any reason, with no cancellation fees or penalties. You may cancel through any of the following methods:

    • Using the cancellation feature available on your billing management page within our web application
    • Contacting our support team directly through a Discord support ticket
    • Opening a support ticket in our Discord server (discord.gg/A6dEtkSgyu) and requesting cancellation

    7.2 Cancellation Effective Date and Access Continuation

    IMPORTANT: When you cancel your subscription, the cancellation is processed immediately, but your access to all paid features, tools, and resources continues uninterrupted until the end of your current billing period.

    • No Immediate Termination: Cancellation does not result in immediate loss of access. You will retain full use of all subscription features until your paid billing period expires
    • No Future Charges: Once cancelled, no further subscription fees will be charged to your payment method. Your subscription will simply expire at the end of your current billing cycle
    • Full Feature Access: During the remainder of your billing period, you maintain complete access to all tools, features, and resources associated with your subscription tier
    • Automatic Role Removal: At the conclusion of your billing period, your Discord role will be automatically removed, and all paid feature access will cease

    This policy ensures you receive the full value of the billing period you have already paid for, regardless of when during that period you choose to cancel.

    7.3 Reactivation

    If you cancel your subscription but later wish to reactivate it, you may do so at any time before your current billing period ends. Reactivation will restore automatic renewal for future billing cycles. If your subscription has already expired, you will need to subscribe anew through our standard subscription process.

    8. Prohibited Conduct and Activities

    The following activities and behaviors are strictly forbidden and will result in immediate account termination without refund:

    • Unauthorized Account Sharing: Transferring, lending, selling, or otherwise allowing any third party to access or use your subscription, account credentials, or Discord role privileges
    • Content Distribution: Copying, screenshotting, recording, sharing, distributing, or publicly displaying any paid guides, exclusive content, proprietary methodologies, or educational materials from our platform
    • Payment Fraud: Using fraudulent payment methods, initiating unwarranted chargebacks, engaging in payment disputes without prior contact with our support team, or any other form of payment-related fraud
    • Community Disruption: Engaging in spam, harassment, discrimination, hate speech, toxic behavior, or any conduct that creates a hostile environment within our Discord community
    • Unauthorized System Access: Attempting to gain access to features, data, or systems for which you are not authorized, including hacking, exploiting vulnerabilities, or circumventing access controls
    • Reverse Engineering: Attempting to decompile, disassemble, reverse engineer, or extract source code, algorithms, or proprietary methodologies from our tools or systems

    Violation of any prohibited activity will result in immediate, permanent account termination with no opportunity for appeal, no refund of any payments, and potential legal action where appropriate.

    9. Limitation of Liability and Risk Allocation

    To the maximum extent permitted by applicable UK law, including the Consumer Rights Act 2015, we exclude and limit our liability as follows:

    Exclusion of Indirect and Consequential Losses

    We shall not be liable for any indirect, consequential, special, incidental, punitive, or exemplary losses or damages, including but not limited to: loss of profits, loss of revenue, loss of business opportunities, loss of anticipated savings, loss of data, loss of goodwill, business interruption, or any other economic loss, regardless of whether such losses were foreseeable or we were advised of the possibility of such losses.

    No Liability for Business Decisions or Outcomes

    We accept no responsibility or liability whatsoever for any losses, damages, or negative consequences resulting from your business decisions, commercial choices, or reselling activities. This includes, without limitation: purchasing decisions you make based on our alerts or tools, pricing strategies you employ, inventory choices, product selection, negotiation outcomes, sales performance, profit margins, or any other aspect of your reselling business. Our Service provides tools and information; we do not guarantee business success or profitability.

    No Refunds for Poor Business Performance

    We explicitly disclaim any liability for poor business performance, inability to find profitable items, failure to achieve sales targets, low profit margins, or any other negative business outcomes. Refunds will not be provided based on dissatisfaction with business results, change of mind regarding the Service's value, or failure to meet profit expectations. The Service is provided "as is" for informational and tool-based purposes only.

    Third-Party Platform Limitations

    We bear no responsibility for actions, changes, restrictions, limitations, or policies implemented by third-party platforms, including but not limited to: Vinted, Discord, Stripe, or any marketplace or payment processor. This includes account bans, restrictions, policy changes, API modifications, service outages, or any other actions taken by these platforms that may affect the functionality, availability, or effectiveness of our tools.

    Third-Party Account Bans and Restrictions

    We are not liable for any account bans, restrictions, limitations, or penalties imposed by third-party platforms (such as Vinted account suspensions, Discord server bans, or marketplace restrictions). These actions are entirely outside our control and do not constitute a failure of our Service. No refunds or compensation will be provided due to third-party platform account issues, regardless of the circumstances.

    Market and Economic Conditions

    We accept no liability for changes in market conditions, economic factors, product availability, pricing fluctuations, supply chain disruptions, consumer demand shifts, or any other external market forces that may impact your reselling business or the effectiveness of our tools.

    Legal Limitations:

    Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) any other liability that cannot be lawfully excluded or limited under applicable UK law, including the Consumer Rights Act 2015.

    10. Service Availability, Uptime, and Downtime Compensation

    While we strive to maintain high service availability and reliability, we do not guarantee uninterrupted, error-free, or 100% uptime for our Service. The Service may experience downtime, outages, disruptions, maintenance periods, or technical issues for various reasons, including but not limited to: server maintenance, software updates, third-party service dependencies, network issues, security incidents, or force majeure events.

    10.1 Extended Downtime Compensation Policy

    In recognition of significant service disruptions, we have established the following discretionary compensation policy:

    • Compensation Threshold: If substantially all core subscription features become unavailable for more than 2 consecutive days (48 hours), we may, at our sole discretion, provide compensation
    • Compensation Method: Compensation may take the form of service credits applied to your account or an extension of your subscription period equivalent to the downtime duration beyond the 2-day threshold
    • Calculation Basis: Compensation is calculated on a per-day basis for each full 24-hour period of downtime exceeding the initial 2-day threshold
    • Discretionary Nature: The decision to provide compensation, the amount of compensation, and the method of compensation are entirely at our sole discretion. Compensation is not guaranteed, even if downtime exceeds 2 days
    • Non-Transferable: Service credits have no cash value, cannot be exchanged for monetary refunds, and cannot be transferred to other accounts
    • Exclusions: Compensation does not apply to: scheduled maintenance (with advance notice), planned updates, events outside our reasonable control (force majeure), third-party platform outages, or partial feature unavailability

    To be eligible for compensation consideration, you must contact our support team and provide details of the downtime period you experienced. We will review requests on a case-by-case basis.

    10.2 Third-Party Service Dependencies

    Our Service relies upon and integrates with various third-party platforms, APIs, and services, including but not limited to: Discord (for community and bot functionality), Vinted (for marketplace monitoring), and Stripe (for payment processing). We are not responsible for, and accept no liability for, any outages, limitations, changes, policy modifications, API alterations, or service disruptions affecting these third-party platforms that may impact the functionality, availability, or effectiveness of our Service.

    11. Intellectual Property Rights and Ownership

    All intellectual property rights, proprietary rights, and ownership interests in and to the Service, including but not limited to our Discord server content, website, web application, software, code, algorithms, methodologies, monitoring systems, automation tools, educational materials, guides, documentation, graphics, logos, trademarks, trade names, and all other content and materials (collectively, "Proprietary Materials"), are and shall remain the exclusive property of Resell Reserve or our licensors.

    This includes, without limitation:

    • Proprietary monitoring algorithms, detection systems, and automation technologies
    • All educational content, guides, tutorials, methodologies, and instructional materials
    • Brand elements, visual designs, user interface components, and graphic assets
    • Trade secrets, confidential information, and proprietary business methods
    • Source code, software architecture, database schemas, and technical implementations

    You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your personal or business reselling activities in accordance with these Terms. You may not copy, reproduce, distribute, modify, adapt, create derivative works from, publicly display, publicly perform, sell, rent, lease, sublicense, or otherwise exploit any Proprietary Materials without our express written permission. Reverse engineering, decompiling, disassembling, or attempting to extract or derive source code, algorithms, or methodologies from our systems is strictly prohibited and may result in legal action.

    12. Account Termination and Suspension

    We reserve the right to immediately suspend, restrict, or permanently terminate your account and access to the Service, with or without prior notice, at our sole discretion, for any of the following reasons:

    • Violation of any provision of these Terms of Service or our community guidelines
    • Engagement in fraudulent, illegal, or unauthorized activities
    • Initiating payment disputes, chargebacks, or payment fraud without first contacting our support team
    • Abuse, harassment, or harmful conduct directed toward other users or our team members
    • Attempting to compromise the security, integrity, or operation of our Service or systems
    • Any other conduct we determine, in our sole judgment, threatens the Service, community, or other users

    Upon termination, your right to access and use the Service ceases immediately. We may delete or permanently remove your account, data, and all associated information in accordance with our Privacy Policy and data retention practices. No refunds, credits, or compensation will be provided for terminations, regardless of the reason for termination or the amount of time remaining in your billing period.

    13. Governing Law, Jurisdiction, and Dispute Resolution

    These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes, claims, or legal proceedings arising out of or relating to these Terms, the Service, or your relationship with Resell Reserve shall be subject to the exclusive jurisdiction of the courts of England and Wales.

    Before initiating any formal legal proceedings, we strongly encourage you to contact our support team to attempt to resolve any disputes or concerns amicably. Many issues can be resolved through direct communication, and we are committed to working with users to find fair solutions to legitimate problems.

    14. Modifications to These Terms

    We reserve the right, at our sole discretion, to modify, update, amend, or revise these Terms at any time. Material changes will be communicated to users through one or more of the following methods: announcements in our Discord server, email notifications to registered email addresses, prominent notices on our website, or in-app notifications. Your continued use of the Service after any modifications to these Terms constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the Service and cancel your subscription in accordance with Section 7.

    By accessing, registering for, or using any Resell Reserve service, you acknowledge that you have carefully read, fully understood, and unconditionally agree to be legally bound by these Terms of Service in their entirety.

    If you do not agree with any portion of these Terms, you must immediately cease all use of our Service and refrain from accessing our platform, tools, or resources.
